CONFIDENTIALITY AGREEMENT: MICKAI DATA ROOM
By entering this data room you agree that:
1. CONFIDENTIALITY. All documents, figures, designs, financial models and technical materials within this data room ("the Materials") are confidential information of Mickai LTD.
2. PURPOSE. The Materials are provided solely to evaluate a potential equity investment in, or acquisition of, Mickai LTD, and for no other purpose.
3. NO DISCLOSURE. You will not share, copy, publish, distribute or disclose the Materials, in whole or in part, to any third party without prior written consent, except to your professional advisers bound by equivalent duties of confidence.
4. NO LICENCE. No licence or other right in the Materials or in any underlying intellectual property (including 104 filed UK patent applications owned by Mickai LTD) is granted by access.
5. NO OFFER. The Materials are indicative projections and design targets, are not an offer, solicitation or financial promotion under FSMA, and nothing in them is legal, tax or investment advice. Any investment is restricted to eligible professional investors under executed transaction documentation.
6. ATTRIBUTION. Access to documents is logged against the name and email address you provide.
7. DURATION. These obligations survive for three years from your last access.
